Mr. Gu serves as our of-counsel in China/Pacific Rim related transactions. After graduating with an LLB from Peking University in 1987, Mr. Gu worked as in-house counsel for SINOTRANS under the Ministry of Commerce for four years. While at MOFCOM, Mr. Gu attended several worldwide UN legal conferences as part of the China delegation.
In 1992, Mr. Gu worked in London as a trainee for Sinclair Roche & Temperley Solicitors. From 1993 to 1995, Mr. Gu obtained a Master of Laws (LLM) at SOAS, University of London. Since 1996, Mr Gu has worked in both London and Beijing as a legal counsel for various law firms and trust companies in the areas of offshore financial and investment law as well as Chinese commercial law.
His main areas of practice include offshore financial and investment law, foreign direct investment (FDI), Cross-border mergers and acquisitions (M&A), corporate finance, securities law and capital markets, as well as other commercial related issues.
Mr. Gu was one of the first attorneys in China to assist Chinese companies to go public overseas, create offshore investments and to go private. Mr. Gu is a regular speaker at various conferences, seminars and training courses that cover the legal topics of PE/Pre-IPO financing/IPO/RTO/APO/PIPEs, Chinese enterprises going public overseas and going private. He has been recognized by the China Securities Regulatory Commission (CSRC) as qualified to serve in the role of independent directorship and as an independent director for several public companies.
Mr. Gu is a visiting professor of Renmin University of China. He is a member of the International Bar Association (IBA) and American Bar Association (ABA). Mr. Gu is also the founding member of the International Association of Managing Partners (IAMP) in China.
